By using the YoPoint Retail Shop Promotion Function
(hereinafter referred as Retail Shop Function), the Merchant
acknowledges and accepts that the use of the Retail Shop Function
shall be governed by these Terms of Service and any other
specific rules, procedures, terms and conditions for the
products, services or facilities offered.
- I. Application for Use of Retail Shop Platform and
Instructions
- 1. Merchant undertakes to comply with the rules that
have been published or will be announced in future by YoPoint,
and apply for activation of the Retail Shop Function.
- 2. In order to improve the ease of transaction between
the Merchants and the Member Users, YoPoint Retail Shop Function
will provide technical support and a platform to display the
address location of the Merchant’s retail outlets, introduction
of the shops/stores, publish member benefits and offers,
products showcase, as well as interaction with the customers,
and etc.
- II. Rights and Obligations of the Merchant
- 1. Merchant should ensure that all relevant information
published on the Retail Shop Function is true. When a Member
User shopping at the retail outlet, Merchant shall provide the
products that matched with the information of member benefits
and offers. Merchant shall be solely responsible for any
complaints, refunds and/or disputes arising in relation with any
false, outdated, inaccurate or incomplete information that
contained in the products and/or services offered.
- 2. When using the Retail Shop Function and other
promotional features on the basis of its expansion, Merchant
shall be responsible and liable with respect to a breach of the
national laws, legislation and regulations under the provisions
of the relevant financial practices.
- 3. Merchant shall follow the operation guide provided by
YoPoint when using the Retail Shop Function. The Merchant should
verify the account balance and check the consistency of all
transaction details and other information during the operation
process. The Merchant shall contact YoPoint immediately if there
is any fake information discovered and/or any other questions
that cannot be resolved. The Merchant shall be solely
responsible and liable for any economic losses if not operated
and used in accordance with the instructions.
- 4. The Manufacturer retains all relevant intellectual
property rights for all Retail Shop Functions used by the
Merchant as well as all the files involved in Retail Shop
Function, including but not limited to drawings, technical
standards, product descriptions and etc. In case of infringement
of intellectual property rights, the copyright holder has the
right to make claims through relevant channels.
- 5. Without the prior written consent of YoPoint, the
Merchant shall not implement, use, transfer or permit any third
party to implement, use or transfer the Prepaid Card Platform
for any profit or non-profit purposes. The Merchant shall bear
legal responsibility in accordance with the national laws,
legislation and regulations, for any losses caused by any
unauthorized use of the service as a result of and/or in
relation to any aforesaid action.
- III. Rights and Obligation of YoPoint
- 1. YoPoint reserves the right to terminate or suspend
the access to the Retail Shop Function at any time without prior
notice and without any liability to the Merchant, including but
not limited to:
- 1.1 Merchant uses the Retail Shop Function attempt for
any promotion and/or transaction that against the national laws,
legislation and regulations under the provisions of the relevant
financial practices.
- 1.2 Merchant does not operate the Retail Shop Function
in accordance with the operation guide, causing huge losses and
thereby affecting the social image of YoPoint.
- 1.3 Merchant has breached of Terms of Service in this
Merchant Agreement when using the platform.
- 2. YoPoint shall be obligated to provide technical
support for the Retail Shop Platform, and provide transaction
data generated in the promotion process, as well as data update
of the activated relevant expansion features.
- 3. YoPoint is merely providing the Retail Shop Platform
to the Merchants as advertising and promotion tool, as well as
transaction function. YoPoint does not participate in any
trading activities between the Member Users and the Merchants.
The trading relationship will not be established between the
Merchant and the Member User, and YoPoint has no legal
responsibility whatsoever caused by or arising from the
transaction process.
- 4. YoPoint shall update the data automatically in the
Merchant Account after each transaction made by the Member User
using the Retail Shop Function. Nevertheless, data updates could
be delayed due to any technical problem or any related system
failure.
- 5. YoPoint may provide merchant information to the bank,
in accordance with the requirements of the cooperative banks.
The bank shall not disclose the same information to any third
party except to the regulatory authorities, the judiciaries, the
international card organizations, as may be authorised by law to
obtain such information.
- IV. Dispute and Settlement
- 1. YoPoint Merchant acknowledges and agrees that YoPoint
shall not be liable for any loss or damage incurred by Merchants
arising out of or in connection with any dispute between the
Merchant and any other third party and the Merchant shall be
solely responsible for resolving such disputes.
- 2. Upon request, Merchant shall provide all information,
documents and assistance which YoPoint may reasonably require to
resolve any queries or disputes in relation to the Merchant use
of The Website and/or the Merchant Account.
- 3. Merchant shall pay YoPoint the undisputed amounts
provided that Merchant may withhold payment of disputed amounts
until such time the disputes have been resolved.
- 4. The Merchant shall reimburse YoPoint for all approved
and settled Transactions which are at any time refused, debited
or charged back by the relevant bank for any reason whatsoever.
- 5. YoPoint shall have the right to delay or hold back
any Settlement if under the circumstances that YoPoint believes
the relevant transaction or settlement involves with, but not
limited to, a risk of refund or any other risk or unlawful
activity. YoPoint shall also be entitled to freeze or terminate
a YoPoint Merchant’s account.
- 6. Merchant understands that settlement is provided by
YoPoint and hence the cooperative bank does not bear any
responsibility for the amount, accuracy, authenticity,
completeness or timeliness of transmittal thereof.
- V. Fees and Charges
- 1. Merchants do not have to pay activation fee for new
registration to activate the Retail Shop Function. Nevertheless,
YoPoint reserves the rights to adjust the activation fee when
necessary.
- 2. Merchant acknowledges that besides using the new
registered and activated default function and its associated
promotional function, other functions may need to be purchased
separately.
- VI. Disclaimer and Limitation of Liability
- 1. YoPoint is merely providing the Retail Shop Platform
to the Merchants and the Member Users as a transaction tool, for
both parties to reach a long-term business relationship.
Nevertheless, YoPoint is not involved in the actual trading
activity. YoPoint will not express or implied any warranty,
directly or indirectly, to the Merchants and the Member Users,
either orally or in writing, as to the accuracy and integrity of
the information uploaded to the YoPoint, and takes no
responsibility and assumes no joint and several liability for
the content provided, and does not undertake any statutory
obligations and/or contractual obligations. YoPoint also have no
obligation to participate in any activities related to refunds
and claims between the Merchants and the Member Users.
- 2. YoPoint will provide the appropriate safeguards in
accordance with the existing technologies to ensure the security
measures are in place for the normal operation of the Retail
Shop Platform. Nevertheless, YoPoint will not guarantee absolute
security under all conditions, in response to unexpected virus
infection, network communication failure, system maintenance,
malfunctioning or hindrances, or any other force majeure events
that may occur. Therefore the Merchant shall understand and
acknowledge that YoPoint shall not be under any liability in
respect of the following circumstances, including but not
limited to:
- (a) System downtime for maintenance or upgrades;
- (b) Data transfer or transmission problems due to
communication server or telecommunication terminal, hardware or
software failure;
- (c) Due to force majeure situations, such as typhoons,
earthquakes, tsunamis, floods, power outages, war, terrorist
attacks, and etc., resulting in the system failure and cannot
perform the business operations.
- (d) Service interruption or delay caused by hacker
attacks, technical adjustments in telecommunications, system
upgrades or any other issues arising from third-party services.
YoPoint reserves the right to update or modify the Terms of
Service at any time without prior notice.
This agreement
shall be effective and legally binding upon acceptance in
registration for new YoPoint Member Users.
